Corporate Lawyer (Partnership Track)
The opportunity
Our client is a well-established, highly respected boutique law firm in Toronto with a long-standing reputation for excellence in corporate and transactional work. They are not a full-service firm — they are a focused, purpose-built practice — and that intentionality defines their culture and their client relationships.
The firm is seeking a senior associate to step into an active desk with a rich mix of private and public company clients. The incoming lawyer will benefit from meaningful existing client exposure, full institutional support, and a genuine, clearly articulated path to partnership — without any expectation that they arrive with their own book of business. An existing following is always welcome, but it is not the basis for this hire.
What you'll be doing
Advising private and public company clients on mergers, acquisitions, divestitures, and reorganizations across the full transaction lifecycle
Negotiating and drafting shareholder agreements, purchase agreements, investment agreements, and a broad range of commercial contracts
Providing ongoing general corporate counsel to a portfolio of owner-managed businesses, private equity-backed companies, and publicly listed issuers
Advising public company clients on continuous disclosure obligations, securities regulatory compliance, and corporate governance matters
Participating meaningfully in business development — building relationships organically over time, not hitting a quota on day one
What you bring
5 or more years of call to the Ontario Bar, with substantive corporate transactional experience at a recognized firm
Strong grounding in private M&A, corporate advisory, and commercial agreements; public company or securities experience is a meaningful asset
The commercial judgment and client-facing presence of a lawyer ready to own a practice — not just execute files
Genuine interest in building a career at one firm, with a long-term view toward partnership
A collaborative, low-ego disposition suited to a close-knit boutique environment where relationships matter
An existing client following is a welcome complement to this role, though it is not a requirement
